LICENSEE AGREES TO THE FOLLOWING TERMS AND CONDITIONS:
For and inconsideration of the license fee to be paid by the Licensee. Licensor grants to Licensee a limited, non-excusive license to use the selected stock footage.
Client agrees to pay for all video transfers, laboratory, shipping and related costs incurred as billed.
1. The Film Vault represents and warrants that it has title to the footage and that it has the right to grant to Licensee all of the rights expressed herein, or has been duly licensed by the copyright holder of record or the footage is in the public domain and therefore indemnifies Licensee for all claims, losses, demands and liabilities as a result of copyright infringement.
2. Licensee must obtain all other clearances and clearances and permissions needed with its use of the footage. (Primarily but not exclusively music, talent and/or personal releases and shall hold The Film Vault harmless from any and all claims, losses, demands and liabilities arising out of clients use of footage that is not covered by licensor's warranty.
3. No failure by either party to duly demand performance of any part of the Agreement for any length of time shall constitute a waiver of any terms of this Agreement or prejudice any future enforcement of it.
4. Licensee shall provide screen credit where appropriate for any footage to "The Film Vault. com", and a 3/4" or Betacam reference video tape of the production will be supplied to The Film Vault. Clean elements will be returned within 10 days of posting.
5. First time customers: 1/2 the expected licensing fee or the $300.00 minimum order charge must be paid when ordering clean material. The balance is due upon completion of the production or 10 days, whichever comes first.
6. Licensee agrees that all film footage licensed and delivered hereunder is for the sole and exclusive use of the Licensee as described herein and may not be sold or transferred by Licensee to any other person or corporation at any time for any purpose.
